1. Purpose
These Pilot-Specific Terms govern the free provision of the NEXO solution to a hotel establishment (the "Client") for a thirty (30) day trial period under real operational conditions, before any commercial subscription decision.
They are supplemented by the signed Enrollment Form, the Terms of Use, and the Data Processing Agreement (DPA), all published on nexo-hotel.com.
2. Duration and free access
The pilot runs for a fixed period of thirty (30) calendar days from the operational start date (Day 0) stated in the Enrollment Form.
Standard modules (Chat AI, Widget AI, Secure Messaging) are provided entirely free of charge during this period.
The optional Phone AI Live Voice module, if enabled, is billed on usage (between €0.25 and €0.35 excl. VAT per minute depending on the voice tier), including during the pilot, due to its variable cost.
The pilot may be extended by an additional thirty (30) days by mutual written agreement.
3. No automatic commitment
The pilot does not trigger any automatic subscription. Upon completion, no commercial relationship arises by operation of law. Any continuation requires a separate SaaS Subscription Agreement freely negotiated between the parties.
4. Scope
The following modules are enabled by default: Chat AI (multilingual guest chat via QR code and website), Widget AI (embedded concierge on the website), Secure Messaging (staff request tracking interface).
Integration with a property management system (PMS) is not included in the pilot. The solution operates standalone based on content and information provided by the Client.
5. HITECH GROUP obligations
- Make the solution available within the agreed timeframe (onboarding within 7 to 14 days).
- Configure and train the AI based on content provided by the Client.
- Provide initial training for designated staff.
- Provide technical support throughout the pilot.
- Implement the security measures described in the DPA.
- Deliver a summary report of measured indicators at the end of the pilot.
HITECH GROUP is bound by an obligation of means. Given the nature of artificial intelligence technologies, no result guarantee is provided.
6. Client obligations
- Appoint an on-site contact as the pilot lead.
- Provide required information, content and access, and ensure their accuracy.
- Allow measurement of indicators (see KPI Methodology).
- Inform staff and organize participation in training.
- Use the solution as intended and in good faith.
- Comply with data controller obligations under the GDPR.
7. Termination
Either party may terminate the pilot at any time by written notice (email with read receipt is sufficient), subject to five (5) business days’ notice.
Early termination gives rise to no compensation, subject to payment for any Phone AI Live Voice minutes consumed.
8. Personal data
During the pilot, the Client acts as data controller and HITECH GROUP as processor within the meaning of the GDPR.
Conversation data is hosted in the European Union (Germany), encrypted in transit and at rest. Processing is governed by the Data Processing Agreement (DPA) published on nexo-hotel.com.
At the end of the pilot, data is returned or deleted in accordance with the DPA.
9. Confidentiality
Each party undertakes to keep confidential non-public information exchanged during the pilot, during its term and for five (5) years thereafter.
10. Intellectual property
HITECH GROUP remains the sole owner of intellectual property rights in the NEXO solution. The pilot grants the Client a limited, non-exclusive, non-transferable right of use for the pilot duration only.
11. Communication
Subject to the Client’s agreement in the Enrollment Form, and after prior approval of each medium within 72 hours, HITECH GROUP may reference the establishment’s name and logo. The Client may refuse or withdraw this authorization at any time.
12. Liability
Given the gratuitous and experimental nature of the pilot, HITECH GROUP’s total liability is capped at one thousand (1,000) euros per establishment.
This cap does not apply in cases of gross negligence or fraud, bodily injury, or personal data breaches under the GDPR.
13. Governing law
These Terms are governed by French law. Any dispute falls within the jurisdiction of the Antibes Commercial Court, subject to mandatory public policy provisions.
